ԱՇԽԱՏԱՆՔԻ ՆԿԱՐԱԳԻՐ : 

The EBRD supported Investment council of Armenia (ICA) is one of 11 Investment Councils currently supported by EBRD as part of the Bank’s Investment Climate and Governance Initiative (ICGI). The Investment Councils play a key role in efforts to improve the business and investment climates in their countries, by providing a platform for public private dialogue between senior government figures (each IC is chaired by either the President or Prime Minister of the country) and representatives from the private sector. This public private dialogue between the authorities and private sector is essential for identifying the key challenges for businesses and investors and shaping the necessary reforms to address them. It also provides governments with the necessary support from the private sector to deliver these reforms. Since its inception, the EBRD-supported ICA has facilitated policy dialogue and regular consultations between the Ministry of Economy (in charge of reform implementation) and the private sector. Within the 17 years of operation ICA has implemented over 40 reform impacting over 85,000 businesses in Armenia. An expert is required (the "Legal Adviser") in order to assist the Head of the IC Secretariat with legal expertise (the "assignment").

ՊԱՐՏԱԿԱՆՈւԹՅՈւՆՆԵՐ : 

The tasks of the Legal Adviser will include, inter alia, the following:
- Under the direction of the Head of IC implement screening of the Tax Code of Armenia;
- Under the direction of the Head of IC prepare legal drafts of the normative acts in the Law on LLCs, Law on Trade & Services, Law on Joint Stock Companies, etc;
- Assess the quality of legislative packages prepared in the scope of the EBRD-led projects funded by the UK Government’s Good Governance Fund;
- Support the Head of IC Secretariat, Senior Legal Adviser in identifying key impediments to SME development by local and foreign enterprises, associations, unions, and main drivers and agents for consideration by the SME Development Council;
- Under the supervision of the Head of IC and Senior Legal Adviser summarise the proposals directed at SME development received from the business community, state agencies, and international organizations;
- Implement due analysis of normative-legal acts regulating the sphere of SMEs and submit proposals on their improvement to the Head of the IC;
- Ensure the preparation of necessary legal documents for holding the SME Development Council sessions;
- Assist the Head of IC upon his/her request in supporting the SME Development Council deliberations;
- Based on the SME Development Council decisions prepare legislative and regulatory amendments aimed at SME development in the country by incorporating the best international practice;
- Involve representatives of the private sector in the process of implementing legal analysis and legislative amendments regulating the sphere of SMEs; seek their comments, opinions, suggestions and discuss those in larger forums with other stakeholders;
- Under the direction of the Head of IC, create specific working groups. Coordinate with other stakeholders involved in working groups. Provide support to them in respect of legal expertise;
- Support the Senior Legal Adviser to follow the process of implementation of the Council's decisions;
- Under the direction and request of the Head of the IC participate in the implementation of programs and projects fulfilled by the international organizations in the sphere of SME development;
- Occasionally participate in conferences and workshops, where appropriate, on investment climate with a view to learning lessons from the experiences gained by other countries that have faced similar issues and to exchanging ideas with them on how to address common situations;
- In coordination with ICA Communication Officer participate in the meetings, Q&A sessions with businesses who become beneficiaries of ICA Reforms;
- Perform any other tasks that may arise upon Senior Consultant’s request requiring legal expertise.

ԱՆՀՐԱԺԵՇՏ ՈՐԱԿԱՎՈՐՈՒՄՆԵՐ : 

- Work experience in corporate and (or) tax law for at least 5 years;
- At least a Master’s level degree in Law, Tax, or Economics;
- Good understanding of Armenia’s tax code, law on LLCs, law on joint stock companies;
- Experience in drafting legislative changes;
- Experience of work in the private and public sectors;
- Fluent knowledge of English and Armenian languages;
- Experience of multi-stakeholder engagement will be deemed as an asset.
